Upon full payment for services rendered, clients receive a license to use the deliverables specifically created for their project for their intended business purposes. This license is non-exclusive, non-transferable, and limited to the scope defined in the applicable service agreement.
You may not reproduce, distribute, modify, create derivative works from, or publicly display any content from our website without prior written consent from Zen Automation. All trademarks, service marks, and trade names displayed on our website are the property of their respective owners.

Zen Automation reserves the right to investigate and take appropriate legal action against anyone who violates these obligations, including reporting such activity to law enforcement authorities.
Fees for services are as set forth in the applicable service agreement or statement of work. Unless otherwise agreed, payment terms are net thirty days from the date of invoice. Late payments may incur interest charges at the rate of one and one half percent per month or the maximum rate permitted by law, whichever is lower.
All fees are stated in United States dollars and are exclusive of any applicable taxes, duties, or levies. Client is responsible for paying all taxes, duties, and levies imposed by any governmental authority in connection with the services, excluding taxes based on Zen Automation net income.
Zen Automation reserves the right to suspend services and withhold deliverables if payment is not received within the agreed timeframe. No refunds will be issued for work already completed and delivered in accordance with the service agreement.
To the maximum extent permitted by applicable law, Zen Automation LLC, its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our website or services, including but not limited to lost profits, lost data, business interruption, or cost of procurement of substitute services.
In no event shall Zen Automation total liability to you for all claims arising from or relating to these Terms of Service or your use of our services exceed the total amount paid by you to Zen Automation during the twelve-month period immediately preceding the event giving rise to the claim.

Zen Automation reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate fully with Zen Automation in asserting any available defenses.
Either party may terminate a service agreement in accordance with the termination provisions set forth in the applicable service agreement. In the absence of such provisions, either party may terminate upon thirty days written notice to the other party.
Zen Automation may suspend or terminate your access to our website immediately, without prior notice or liability, if you breach any provision of these Terms of Service. Upon termination, your right to use our website and services will immediately cease. Provisions of these Terms of Service that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitation of liability, and indemnification.
Upon termination of a service agreement, Client shall pay Zen Automation for all work performed and expenses incurred up to the effective date of termination. Zen Automation shall deliver any work product completed as of the termination date upon receipt of payment for such work product.
Our website and services are provided on an as is and as available basis without any warranties of any kind, either express or implied. Zen Automation LLC expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of dealing.
Zen Automation does not warrant that our website will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We do not warrant that our website or the servers that make it available are free of viruses or other harmful components.

If the dispute cannot be resolved through negotiations within thirty days, the parties agree to submit the dispute to mediation administered by a mutually agreed mediator in St George, Utah.
If mediation does not resolve the dispute, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in St George, Utah, and judgment on the arbitration award may be entered in any court having jurisdiction.
Notwithstanding the above, Zen Automation may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or business interests without prior arbitration or mediation.
Zen Automation LLC reserves the right to update or modify these Terms of Service at any time without prior notice. Changes will become effective immediately upon posting to our website.
